These Terms & Conditions (“Terms”) govern your use of the MatX Lab website at matxlab.com (the “Site”) and, together with any executed quotation or statement of work, the provision of analytical testing and characterization services (the “Services”) by MatX Lab, Inc. (“MatX Lab,” “we,” “us”), a Delaware corporation. By using the Site or engaging our Services, you agree to these Terms. If you do not agree, do not use the Site or the Services.
1. About Our Services
MatX Lab offers material analysis, characterization, and testing services. Testing is organized via our network of accredited labs, which are chosen by MatX Lab according to the tests required in each project. The analyses comply with established testing protocols as outlined in ASTM, ISO, IEC, UL, and MIL-STD test standards when available.
MatX Lab is an analytical service organization. We do not certify products, give regulatory approvals, nor develop standards. The test reports record the tests conducted, methods used, and results obtained. These are not certificates of suitability for any intended use.
2. Quotations & Engagement
All Services are performed pursuant to a written quotation or statement of work issued by MatX Lab. Quotations are valid for [30] days from issuance unless otherwise noted. The project will be considered accepted when you confirm your acceptance in writing (via email or via the Site) or provide samples using the quoted terms of reference, whichever happens first. In case there is any contradiction between the terms and conditions and the confirmed quotation/statement of work, the latter will prevail.
3. Client Responsibilities
You warrant that: (a) you have the legal authority to provide the samples and materials; (b) you have identified all risks related to the samples provided including toxins, reactivity, biologics, radiation, and energy sources such as batteries; (c) the samples are not export controlled and do not fall under any restrictions including ITAR, except those specifically disclosed and agreed upon in writing by MatX Lab prior to providing the samples; and (d) all information that you provide regarding the samples, specifications, and intended use is accurate to your best knowledge.
MatX Lab is free to reject, isolate, or dispose of any samples with unknown risk or legal constraint.
4. Samples
Submission. The samples should be sent in compliance with the guidelines provided by MatX Lab at the outset of the project. You should not send any samples before written confirmation from the lab.
Handling and consumption. Certain analytical techniques are destructive or alter samples. Unless you designate a sample as requiring non-destructive handling in writing before work begins, you authorize the techniques described in the quotation, including destructive methods where quoted.
Retention and return. Unless otherwise agreed in writing, remaining sample material is retained for [60] days after report delivery, after which it may be disposed of without further notice. Sample return is available on request at your expense.
5. Fees & Payment
Fees are as stated in the applicable quotation. Unless otherwise agreed: invoices are due net 30 days from invoice date; late amounts accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law; and you are responsible for taxes, duties, and shipping costs. MatX Lab may require prepayment or deposits for new accounts or large engagements. Reports may be withheld pending payment of outstanding amounts.
6. Turnaround & Delivery
These turnaround times are given in good faith depending upon the techniques involved and current capabilities, and begin from the time that compliant samples are received. Turnaround times are not guaranteed unless expressly mentioned in the quote as guaranteed. The MatX Lab will alert you to any material delays.
7. Reports & Results
Test reports apply to samples tested as described in such reports. Such results should not be used for any inference or interpretation of other lots, batches, or products. Reproduction of test reports is permitted only if the whole document is published, without any alterations. Test reports shall not be used in any advertisement without the prior permission of MatX Lab.
8. Confidentiality
Each party will treat the other party’s Confidential Information as confidentially as each treats its own, but no less than with reasonable care in any event. MatX Lab treats its Client sample data, specifications, and analysis results as Confidential Information and will disclose such results only to its Client or to designees designated in writing by its Client. The duty of confidentiality does not end with the completion of the Project but continues for a period of [5] years or indefinitely, in the case of trade secrets. A signed NDA supersedes this Section.
9. Intellectual Property
Your rights in regard to your samples, materials and data will be unaffected by this agreement. Your rights on the procedures, know-how and analytical techniques are owned by MatX Lab. On payment of all amounts due, you will own the report as well as the data generated specifically for your project, excepting any rights retained by MatX Lab for archival purposes.
10. Warranties & Disclaimers
MatX Lab warrants that Services will be performed in a professional and workmanlike manner consistent with applicable published test methods. EXCEPT AS EXPRESSLY STATED, THE SERVICES AND SITE ARE PROVIDED “AS IS,” AND MATX LAB DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Your exclusive remedy for nonconforming Services is re-performance of the affected work or, at MatX Lab’s option, refund of the fees paid for that work.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATX LAB’S TOTAL LIABILITY ARISING FROM OR RELATED TO ANY PROJECT SHALL NOT EXCEED THE FEES PAID FOR THAT PROJECT, AND IN NO EVENT SHALL MATX LAB BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. You acknowledge that fees are set in reliance on these limitations.
12. Indemnification
You will indemnify and hold harmless MatX Lab and its partner laboratories from claims arising out of (a) undisclosed sample hazards, (b) your breach of Section 3, or (c) your use of reports or results in violation of these Terms.
13. Site Use
The content on the Site consists of texts, graphics, logos, and MatX Lab’s trademarks which belong to MatX Lab, Inc. and are protected by intellectual property rights. No one shall scrape, reproduce, or reuse any content from the Site without prior written permission. You shall not transmit any viruses via the Site.
14. General
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, and disputes shall be resolved exclusively in the state or federal courts located in DE. If any provision is held unenforceable, the remainder continues in effect. Failure to enforce any provision is not a waiver. These Terms, together with the applicable quotation and any executed NDA, are the entire agreement regarding their subject matter. MatX Lab may update these Terms by posting a revised version with a new effective date; continued use of the Site constitutes acceptance.
